This Agreement is concluded
between
aicas GmbH

(henceforth referred to as “aicas”)
and
any
person or organization who obtains the JamaicaVM Micro Tools for
Eclipse
(henceforth referred to as “Recipient”).
aicas grants the Recipient a nonexclusive license to install and use JamaicaVM Micro Tools for Eclipse (consisting of the JamaicaVM Micro Tools for Eclipse software, libraries, and associated documentation). The Recipient may not reverse-engineer, disassemble, or decompile JamaicaVM Micro Tools for Eclipse.
JamaicaVM Micro Tools for Eclipse is a proprietary product of aicas and is protected under copyright law and international treaties. All intellectual property rights pertaining to JamaicaVM and JamaicaVM Micro Tools for Eclipse are retained by aicas.
Under no event will aicas or any of its affiliates, distributors, or licensees be liable for direct, indirect, special, or consequential damages, including, but not limited to, lost profits or the loss of data resulting from the use of JamaicaVM Micro Tools for Eclipse.
The Recipient may not assign his or her rights under this Agreement to another party.
aicas may terminate this Agreement effective immediately for noncompliance with the Terms of this Agreement at any time by giving written notice to the Recipient. The Recipient may terminate this Agreement at any time by deleting or destroying all copies of JamaicaVM Micro Tools for Eclipse. Upon termination of this Agreement, for any cause whatsoever, the Recipient must destroy or delete all copies of JamaicaVM Micro Tools for Eclipse.
If any provision of this Agreement shall be held by a court of competent jurisdiction to be illegal, invalid or unenforceable, the remaining provisions shall remain in full force and effect.
The validity, interpretation, construction and performance of this Agreement shall be governed by the laws of the Federal Republic of Germany. The Amtsgericht Karlsruhe shall have exclusive jurisdiction and venue over any dispute arising out of this Agreement, and Licensee hereby consents to the jurisdiction of this court. By mutual consent, arbitration may be used as an alternative to court proceedings.
The foregoing constitutes the entire agreement between the Parties with respect to the subject matter herein and supersedes and cancels all prior representations, negotiations, commitments, undertakings, communications whether oral or written, acceptances, understandings and agreements between the Parties with respect to or in connection with any of the matters to which such Agreement applies or refers.
